Terms of Service
These terms govern your access to and use of AdTag. Please read them carefully.
1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you (and the organization you represent) and AdTag, operated by AdTag Inc. (“AdTag,” “we,” “us”), governing your access to and use of adtag.app and the AdTag application (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
AdTag analyzes advertising and creative data to produce evidence-based recommendations about what to create and test next. We may update, improve, or change features over time.
3. Accounts and eligibility
You must be at least 18 and able to form a binding contract. You are responsible for your account, for keeping credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
4. Your data and content
You retain all rights to the data, metrics, and creative assets you upload or connect (“Customer Data”). You grant AdTag a limited, worldwide license to host, process, and analyze Customer Data solely to provide and improve the Service for you. You represent that you have the rights and permissions necessary to provide Customer Data and to allow this processing.
5. Recommendations are estimates, not guarantees
The Service produces probabilistic, evidence-based recommendations and estimates to support your decisions. They are not promises or guarantees of advertising performance, revenue, bookings, or any specific outcome, and every recommendation carries uncertainty. You are solely responsible for your creative, advertising, financial, and business decisions and for complying with the policies of any advertising platform you use.
6. Acceptable use
You agree not to:
- Use the Service unlawfully or in violation of third-party rights;
- Upload data you lack the rights or consents to provide;
- Reverse engineer, scrape, or attempt to access the Service or other customers’ data without authorization;
- Interfere with, overload, or disrupt the Service or its security;
- Resell or provide the Service to third parties except as permitted.
7. Fees and payment
Paid plans are billed in advance on the cycle shown at purchase and are non-refundable except where required by law or expressly stated. Fees exclude taxes, which are your responsibility. Subscriptions renew automatically unless cancelled before the renewal date. We may change pricing on prospective notice. [Confirm specific plan and billing terms.]
8. Intellectual property
AdTag and its licensors own all rights in the Service, including its software, models, design, and content (excluding Customer Data). We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send feedback, you grant us a license to use it without restriction.
9. Confidentiality
Each party may access the other’s confidential information and agrees to protect it and use it only to exercise rights and perform obligations under these Terms.
10. Third-party services
The Service may integrate with third-party platforms (for example, advertising or analytics providers). We are not responsible for third-party services, and your use of them is governed by their terms.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that recommendations will achieve any particular result.
12. Limitation of liability
To the maximum extent permitted by law, AdTag will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the 12 months before the event giving rise to the claim.
13. Indemnification
You will defend and indemnify AdTag against claims arising from your Customer Data, your use of the Service, or your breach of these Terms, to the extent permitted by law.
14. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access for breach or to protect the Service. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period, after which it may be deleted.
15. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and the courts located in Ontario will have jurisdiction, unless a different governing law is required by your local law. 16. Changes to these terms
We may update these Terms from time to time. We will post the updated version here and revise the “last updated” date; material changes will be communicated where required. Continued use after changes means you accept them.
